1. The Parties

These Terms & Conditions (the “Terms”) govern your access to and use of Tabletop Companion (the “Service”), operated by Apex Funnel Studio, LLC (“we”, “us”, or “our”). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you are an individual, you represent that you are of legal age to form a binding contract in your jurisdiction.

2. The Service

Tabletop Companion is a web application that provides tabletop role-playing game tools, including an initiative tracker, monster codex, encounter builder, NPC generator, spell reference, loot generator, session journal, and related features. Some features are free; others require a paid subscription.

3. Account & Acceptable Use

You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for all activity under your account.

You must not misuse the Service. In particular, you must not:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • engage in fraud, spam, or deceptive activity;
  • infringe the intellectual property or other rights of any third party;
  • interfere with the security or integrity of the Service, including by introducing malware, probing for vulnerabilities, or scraping at scale;
  • reverse engineer, resell, redistribute, or circumvent any technical limits of the Service.

4. Intellectual Property

Apex Funnel Studio, LLC retains all rights, title, and interest in and to the Service, including its software, design, content, and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms and your plan.

Portions of the Service use material from the System Reference Document 5.1 by Wizards of the Coast LLC, licensed under the Creative Commons Attribution 4.0 International License. Tabletop Companion is not affiliated with or endorsed by Wizards of the Coast.

You retain ownership of content you create within the Service (campaigns, notes, NPCs, etc.). You grant us a limited license to host and process that content solely to provide the Service to you.

5. Payments, Subscriptions & Refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle’s Buyer Terms.

6. Service Availability

We work hard to keep the Service running smoothly, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability for any claims arising out of or relating to the Service shall not exceed the fees you paid in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where such exclusion is prohibited by law.

8. Suspension & Termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, present a security or fraud risk, or engage in repeated or serious policy violations. Upon termination, your right to use the Service ends. We will provide a reasonable opportunity to export your data where feasible.

9. Governing Law

These Terms are governed by the laws of the State in which Apex Funnel Studio, LLC is organized, without regard to conflict-of-laws principles. Disputes shall be resolved in the competent courts located in that jurisdiction, except where applicable law grants you the right to bring proceedings in your country of residence.

10. Changes & Contact

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

11. Copyright Complaints (DMCA)

We respect the intellectual property rights of others and expect users of the Service to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA") and other applicable law.

If you believe that any content on the Service infringes your copyright, you may submit a written notification to our designated agent. Your notice must include all of the following:

  • A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  • Identification of the copyrighted work claimed to have been infringed (or, if multiple works, a representative list);
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it on the Service;
  • Your contact information, including address, telephone number, and email address;
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

If you believe your content was removed by mistake or misidentification, you may submit a counter-notification containing: (1) your physical or electronic signature; (2) identification of the removed material and its prior location; (3) a statement under penalty of perjury that you have a good-faith belief the removal was a mistake; and (4) your name, address, telephone number, and consent to jurisdiction of the federal court in your district (or any judicial district in which the Service may be found if you are outside the United States).

We reserve the right to terminate the accounts of users who are repeat infringers.
